(hereinafter referred to as the Buyer),

acting in accordance with the auction participation rules (2026), hereby enter into this preliminary vehicle sale and purchase agreement (hereinafter referred to as the Agreement).

1. SUBJECT OF THE AGREEMENT

1.1. The Seller sells and the Buyer purchases the following vehicle:

2. BASIS OF THE AGREEMENT

2.1. The Buyer confirms that the vehicle is purchased without physical inspection, based solely on the information provided by the Seller, which is received from insurance or leasing companies.

2.2. The Buyer agrees that the vehicle is sold “as is”, without any warranties, regardless of its actual technical or visual condition.

2.3. Vehicle price: ____________________ EUR.
(The price structure and included costs are defined in Section 4 of this Agreement.)

2.4. The Parties confirm that the Buyer may be either a natural or a legal person, and the provisions of this Agreement apply equally to both, unless expressly stated otherwise.

3. PURCHASE PRINCIPLES AND RISK ALLOCATION

3.1. All information and photographs available to the Seller regarding the vehicle have been provided to the Buyer and are deemed sufficient for making a purchase decision.

3.2. The Seller does not guarantee the technical condition, mileage, or the absence of hidden defects that were not identified during the initial inspection.

3.3. All risks related to the condition of the vehicle, including possible minor damages occurring during transportation (scratches, dents, container fastening marks), are borne by the Buyer.

3.4. The Buyer has the right to insure the vehicle independently or to arrange insurance with the Seller under a separate agreement.

4. VEHICLE PRICE AND PRICE STRUCTURE

4.1. The Parties agree that the vehicle price payable by the Buyer is final according to the selected pricing option and includes all costs listed below.

☐ 4.2.1. VEHICLE PRICE IN LITHUANIA

The price includes:

the vehicle price;
all transportation and logistics costs to the Republic of Lithuania
(including loading, unloading, sea freight, and other logistics expenses);
customs procedures and formalities;
import duties;
value added tax (VAT);
vehicle legalization in Lithuania, including technical inspection and conformity approval.

(Not included: vehicle registration in the Republic of Lithuania and environmental (pollution) tax.)

☐ 4.2.2. VEHICLE PRICE FOR EXPORT WITHIN THE EUROPEAN UNION

The price includes:

the vehicle price;
all transportation and logistics costs to the Republic of Lithuania;
loading and unloading operations;
all export-related documentation and procedures.

Not included:

VAT;
import customs duty (10%).

These taxes and duties shall be applied and paid in accordance with the legislation of the final destination country.

☐ 4.2.3. VEHICLE PRICE FOR EXPORT OUTSIDE THE EUROPEAN UNION

The price includes:

the vehicle price;
all transportation and logistics costs to the Republic of Lithuania;
loading and unloading operations;
all export-related logistics expenses;
export declaration and mandatory export documentation.

Import taxes, VAT, and any other charges in the destination country are not included and shall be borne by the Buyer.

4.3. By selecting the applicable pricing option and signing this Agreement, the Buyer confirms that the price structure is fully understood and that no claims regarding the price composition shall be raised in the future.

5. PAYMENT TERMS

5.1. The Seller issues an advance invoice in the amount of __________ EUR.
The Buyer undertakes to pay the full amount within 1 (one) business day.

5.2. Partial payment or vehicle reservation is possible only upon prior written agreement with the Seller.

6. TIMEFRAMES AND LOGISTICS

6.1. The standard vehicle delivery time is 60–90 days from the purchase date and may vary due to circumstances beyond the Seller’s control.

6.2. Upon the Buyer’s request, a shipment tracking code shall be provided after the vehicle is loaded.

7. LIABILITY OF THE PARTIES

7.1. The Seller is responsible for the legal status of the vehicle, compliance of documents with applicable laws, and the legality of the transaction.

7.2. The Seller does not accept any claims regarding the technical or visual condition, mileage, or defects of the vehicle.
No warranties apply to the vehicle.

7.3. The Buyer must collect the vehicle in due time.
All additional costs arising from delays shall be borne by the Buyer.

8. FINAL PROVISIONS

8.1. This Agreement enters into force on the date of its signing.

8.2. If the Buyer is a legal entity, this Agreement shall be signed by a duly authorized representative who confirms having the authority to conclude this Agreement.
